Results Dependent on Client Implementation: The Rev System Ltd provides strategic recommendations, system configurations, and operational frameworks. Actual business results depend entirely on Client's diligent implementation, consistent execution, and adherence to recommended processes.

No Liability for Client Inaction: We shall not be held liable for:

  • Failure to achieve projected results due to incomplete implementation of recommendations
  • Revenue losses resulting from Client's decision not to follow agreed implementation timelines
  • Missed opportunities caused by Client's delay or refusal to execute recommended changes
  • Poor outcomes resulting from Client's modification of recommended processes without consultation
  • Business impacts from Client's failure to maintain agreed systems or workflows

Client Responsibility for Execution: Client acknowledges that:

  • Our role is advisory and implementation support, not business management
  • Success requires Client's active participation, resource allocation, and consistent execution
  • Business results cannot be guaranteed regardless of strategy quality
  • Client bears full responsibility for business decisions and their outcomes
  • Failure to assign adequate internal resources may compromise results achievement

Due Diligence Standard: Client agrees to exercise reasonable business judgment and due diligence in:

  • Evaluating and implementing our recommendations
  • Allocating sufficient internal resources for execution
  • Maintaining systems and processes as configured
  • Providing timely feedback and addressing implementation challenges
  • Following agreed project timelines and milestones

Results Measurement: Any performance guarantees or success metrics are contingent upon Client's full compliance with agreed implementation plans, timelines, and ongoing maintenance requirements as documented in the specific service agreement.

This language professionally protects you while making it clear that results require client commitment and proper execution of your recommendations.

8.4 Professional Services Exception

Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Professional indemnity as required by Irish law
  • Violations of data protection regulations

9. Termination

9.1 Termination Rights
